Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Svb Casa Properties Inc., operating as Casa Teams, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Services Description

Svb Casa Properties Inc. provides computer integrated systems design, technical consulting, software development, and related professional services. The specific scope, deliverables, timelines, and fees for services will be detailed in separate service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Account Responsibilities

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable laws or regulations
• Engage in any conduct that restricts or inhibits anyone's use of our services
• Transmit any viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services

Intellectual Property Rights

Our Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of Svb Casa Properties Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Property

You retain all rights to any content, data, or materials you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of providing our services to you.

Work Product

The ownership of work product created under a service agreement will be specified in that agreement. Unless otherwise agreed in writing, custom work product created specifically for you will be transferred to you upon full payment, while our pre-existing tools, methodologies, and general knowledge remain our property.

Payment Terms

Fees for our services will be specified in service agreements or statements of work. Payment terms typically include:

• Invoices are due within 30 days of the invoice date unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law
• We reserve the right to suspend services for accounts with overdue payments
• All fees are non-refundable unless otherwise specified in writing
• You are responsible for all taxes associated with the services, excluding taxes based on our net income

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any service agreement and continues for a period of five years.

Warranties and Disclaimers

Our Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Any specific warranties will be detailed in service agreements.

Disclaimer

Except as expressly stated in a service agreement, our services are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, Svb Casa Properties Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code that may be transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted or transmitted through our services

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us for the services in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Svb Casa Properties Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.

Term and Termination

These Terms remain in effect while you use our services. We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.

Service agreements may be terminated in accordance with their specific terms. Either party may terminate a service agreement for convenience with written notice as specified in that agreement.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Arbitration

Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, the dispute shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, conducted in Ontario, Canada.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the Last Updated date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Svb Casa Properties Inc. regarding our services and supersede all prior agreements and understandings.
